Ayming is looking for an attorney in our US office. This is a hybrid role with traditional in-house counsel and nontraditional elements and the opportunity to grow with the company. The ideal candidate has a passion for excellence, is driven to achieve their full potential, and understands the value of building relationships with colleagues. This role does not require prior tax law knowledge, and extensive training and growth opportunities will be offered. This role will report to upper management, including the managing partner/USA country manager.


  • Assisting the Managing Director with managing the company’s legal risk in various areas of law (including contract, litigation, employment law, real estate, intellectual property, finance, corporate, and others);
  • Providing legal assistance in drafting and negotiating legal documents of all types;
  • Drafting, negotiating, reviewing, analyzing, and interpreting customer, vendor, and partner contracts;
  • Managing outside counsel in litigation matters and coordinating internal requirements in connection with litigation;
  • Studying and interpreting laws, court decisions, ordinances, and other legal authorities, as needed, to deliver the foregoing services; and
  • Rendering and receiving legal advice to/from the French General Counsel, other members of the company’s leadership/management group
  • Working with Paris, France-based associate counsel on various legal matters
  • Assisting with customer matters, including restructurings, collections, and settlement agreements;
  • Analyzing and interpreting laws, court decisions, ordinances, and other legal authorities, as needed; and rendering legal advice to the French-based general counsel office members, as well as the USA Managing Partner, members of the delivery and sales teams, and other members of the company’s leadership/management group;

Other Responsibilities:

  • Assist in developing and identifying new tax incentives or other government incentive service lines by staying up to date and analyzing existing and new tax laws to qualify value-oriented benefits for companies;
  • Prepare memorandums, presentations, and written reports that explain legal tax standard;
  • Develop, evaluate and implement defense strategies and represent clients in all IRS and state tax audits and examinations, including the evaluation of evidence and all facts and circumstance to position our clients during audits and study delivery;
  • Draft and review primary responses to IRS requests, as well as technical reports and legal analysis in support of tax studies and or audits;
  • Draft and prepare information for presentation to the IRS and State Taxing Authorities;
  • Represent clients before IRS for audits and other topics; and
  • Research relevant technical and industry-specific topics


  • An active law license – Texas is preferred;
  • 0-3 years of experience;
  • Experience in drafting legal memorandums, employment contracts, confidentiality agreements, and non-disclosure agreements;
  • Self-starter with initiative and works well with minimal supervision;
  • Strong and persuasive communication skills;
  • Ability to effectively work as a productive member of cross-functional teams;
  • Comfortable and confident providing risk-based guidance in a fluid environment;
  • Organized/multi-tasker/attentive to details;
  • Able to maintain high volume, high-quality workflow, even in peak periods;
  • Creative problem-solver substantively and concerning work processes.
  • Self-starter and personally driven to deliver superior work product and results; and
  • Exhibits the highest ethical standards; and
  • 10-20% international and domestic travel required.
